These Terms and Conditions ("Agreement") govern your access to and use of Catalect's website and AI services. By using our website or engaging our services, you agree to be bound by this Agreement. If you do not agree, please discontinue use immediately.

1. Definitions

  • "Catalect", "we", "us", "our" — refers to Catalect, the entity providing AI advisory and delivery services from Hong Kong.
  • "Service" — the AI translation, predictive maintenance intelligence, and use case discovery services described on our website.
  • "User", "you", "your" — any individual or organisation accessing our website or engaging our services.
  • "Agreement" — these Terms and Conditions together with our Privacy Policy and any specific service agreement.
  • "Content" — all text, materials, data, and outputs produced in connection with the Service.

2. Acceptance of Terms

By accessing our website or submitting a contact form, you confirm that:

  • You are at least 18 years of age or acting with authority on behalf of an organisation
  • You have the legal capacity to enter into a binding agreement
  • You have read and understood these Terms in full

3. Service Description

Catalect provides three core service lines to organisations in Hong Kong and the broader Asia-Pacific region:

  • AI Translation Services — enterprise-grade multilingual document and communication translation leveraging large language models calibrated for Cantonese, Mandarin, and English business contexts.
  • Predictive Maintenance Intelligence — AI-driven operational analysis and early-warning systems for industrial and facility management clients.
  • AI Use Case Discovery — structured workshops and audit frameworks to identify high-value AI deployment opportunities within your organisation.

Service availability is subject to capacity and mutual agreement. Catalect reserves the right to adjust service offerings with reasonable notice.

4. User Responsibilities

When using our website or services, you agree to:

  • Provide accurate, complete information in all communications
  • Use the services only for lawful business purposes
  • Not attempt to reverse-engineer, copy, or redistribute Catalect's proprietary methodologies
  • Not upload or transmit malicious software or harmful data
  • Not use the services in any manner that violates applicable Hong Kong or international law
  • Maintain appropriate confidentiality regarding any shared service methodologies or deliverables

5. Intellectual Property

All content, methodologies, frameworks, software, and branding on the Catalect website and within our service deliverables remain the intellectual property of Catalect unless otherwise agreed in writing.

Clients receive a limited, non-exclusive, non-transferable licence to use deliverables produced specifically for their engagement. This licence does not extend to resale, redistribution, or sublicensing without prior written consent from Catalect.

6. Payment Terms

Payment obligations are established in individual service agreements. General terms apply as follows:

  • Fees are quoted in Hong Kong Dollars (HKD) unless otherwise specified
  • Invoices are due within 30 calendar days of issue
  • Late payments may incur interest at 1.5% per month on outstanding balances
  • Refund eligibility is determined by the terms of the specific service agreement; general enquiry submissions are non-billable

7. Disclaimers

Catalect's services are provided in good faith based on the information available at the time of engagement. We do not warrant:

  • That AI-generated outputs will be error-free or suitable for every regulatory context
  • That predictive maintenance insights will prevent all equipment failure events
  • Specific financial, operational, or business outcomes from use case discovery engagements

Outputs from AI systems should be reviewed by qualified professionals before acting on them in regulated or high-stakes contexts.

8. Limitation of Liability

To the maximum extent permitted by Hong Kong law, Catalect's total liability to any client in connection with the services shall not exceed the fees paid by that client in the three months preceding the relevant claim.

Catalect shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profit, loss of data, or business interruption, even if advised of the possibility of such losses.

9. Termination

Either party may terminate a service engagement with 30 days' written notice. Catalect may suspend or terminate access immediately in the event of:

  • Material breach of these Terms that is not remedied within 14 days of written notice
  • Non-payment of fees exceeding 60 days
  • Use of services for unlawful purposes

Clauses relating to intellectual property, liability, and dispute resolution survive termination.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region. In the event of a dispute, the parties agree to:

  • First attempt informal resolution through direct negotiation within 30 days
  • If unresolved, submit to mediation under the Hong Kong Mediation Centre rules
  • As a final resort, submit to the exclusive jurisdiction of the courts of Hong Kong

11. Changes to These Terms

Catalect may update these Terms periodically. We will revise the "Last Updated" date and, for active clients, provide at least 14 days' notice of material changes by email. Continued use of our services after the effective date of any changes constitutes acceptance.
